Privacy Policy

NextCap Venture Law (“we”, “us” or “our”) is committed to protecting your Personal Information (as defined below). This privacy policy (the “Privacy Policy”) explains the Personal Information we collect when you and other third parties (“you” or “your”) visit our website at www.ncvlaw.ca (the “Website”) or otherwise contact us, as well as how we collect, use, and disclose such information in the course of our business.

We collect, use, and disclose Personal Information in accordance with applicable privacy laws, including the Personal Information Protection and Electronic Documents Act.  Our lawyers are also bound by professional obligations, including client confidentiality and solicitor-client privilege.

We may revise this Privacy Policy from time to time in our sole discretion. We will obtain the necessary consents required under applicable privacy laws if we seek to collect, use, or disclose your Personal Information for purposes other than those for which consent has been obtained, unless otherwise required or permitted by law. We recommend reviewing this Privacy Policy regularly to stay informed of our current policies regarding the collection, use, and disclosure of your Personal Information.

Personal Information

In this Privacy Policy, “Personal Information” means information about an identifiable individual.  It can also include information that allows an individual to be identified. Generally, Personal Information does not include business contact information, such as your name, title, business address, or business phone number, which we may use to contact you in your business capacity.

What types of Personal Information do we collect?

When you fill out the contact form on our Website or reach out to us in any other way, we collect your first and last name, phone number, email address, company name (if applicable), and any additional information you choose to include in your message. We use this information to respond to your inquiry and, when applicable, provide legal services.

The types of Personal Information we may collect during the client intake process and while providing legal services to clients include home address, telephone number, email address, billing and bank account information, photo identification, and any other Personal Information shared with us during the provision of legal services. We may also collect Personal Information about a client from other clients, or from individuals or entities involved in matters adverse to our clients, or that have a business, legal or other relationship with the client, in each case, related to the client’s legal matter, which may include Personal Information about directors, officers, employees, shareholders, investors, or other third parties with whom the client engages in contractual, legal, or other relationships.

What Technical Information do we collect?

We may employ various technologies and collect certain automatically generated information when you use the Website, which is recorded by our Internet servers (collectively, “Technical Information”). Technical Information is generally used in an aggregate and anonymized manner, preventing it from being linked to any identifiable individual. Should we use such information to identify an individual, we will treat it as Personal Information in accordance with this Privacy Policy.

  • Log Files. Log files document each visit to the Website and record several details, including your operating system, the date, time, and duration of the visit, the pages and documents accessed, and the previous site visited (e.g., the search engine that referred you to the Website). This information is collected solely for aggregated statistical purposes, such as tracking the number of visits to the Website, monitoring page views, analyzing time-based traffic patterns, and determining the proportion of visitors using specific devices. We will not attempt to identify users based on their browsing activity via these records.
  • Device Identifiers. A device identifier, such as an IP address, is a unique number associated with a device. We may use your device identifier to recognize you upon your visit to the Website to determine repeat visitors and to detect and prevent fraudulent activity. By employing device identifiers to estimate geographic location, we can ascertain your approximate time zone and better understand user locations.
  • Cookies. Cookies are small text files stored on your computer that allow us to identify your IP address each time you visit the Website. We may use session cookies (which expire once you close your web browser) and persistent cookies (which remain on your computer until deleted). Cookies help us collect and store specific information about your preferences to enable a more personalized browsing experience. We may also use cookies to gather aggregated statistical information, similar to that collected through log files. You can disable or block cookies by following your web browser's instructions. While cookies are not required to visit the Website, certain features depend on their use, so blocking cookies may prevent access to those features or result in a loss of preferences associated with those cookies.
  • Web Beacons. We may deploy web beacons—also known as pixel tags, clear GIFs, or similar technologies—in conjunction with some Website pages and HTML formatted email messages. This enables us to track user actions and email recipient behavior, compiling statistics regarding our Website and email response rates. These technologies typically work alongside cookies. If you wish to prevent your cookie information from being linked to your visits, you can disable or block cookies as mentioned above. Even if you turn off cookies, web beacons (or similar technologies) will still register visits to these pages; however, the notifications they generate will not be associated with other cookie information and will be disregarded.
  • Analytics. We use Google Analytics to gather statistics regarding visitors to the Website. Google Analytics tracks and analyzes non-personally identifiable statistical information, including, but not limited to, data from search engines, display advertising, pay-per-click networks, email marketing, and digital collateral like links within PDF documents. For more information about Google Analytics, including instructions on managing the information collected by Google, please visit: https://policies.google.com/privacy and https://policies.google.com/technologies/partner-sites.

Technical Information is used for the following purposes: (a) site and system administration; (b) enhancing the Website; (c) conducting internal reviews of visitor counts; (d) gaining a better understanding of visitors’ interactions with our Website; (e) responding to specific visitor requests; and (f) safeguarding the security and integrity of our Website when necessary.

Third Party Links and Services

Our Website may include links or references to websites, services, or content provided or operated by third parties. This Privacy Policy does not extend to the privacy practices of third parties. These links or references are provided solely as a convenience to you and not as an endorsement by us. We are not responsible for the content of linked third party websites and make no representations regarding the content or accuracy of materials on such websites. If you choose to access linked third party websites, you do so at your own risk. We do not assume any responsibility for the privacy practices, policies, or actions of third parties. We encourage you to review the privacy policies of each website you visit before using them or disclosing any Personal Information to third parties.

We partner with third party service providers to offer products and services related to our legal services in the ordinary course of business. These products and services encompass communication systems, document management systems, due diligence platforms, data room providers, closing logistics platforms, and e-signature platforms (collectively, “Third Party Services”). We may collect Personal Information through these Third Party Services. Any Personal Information we receive via a Third Party Service will be governed by this Privacy Policy; however, please be aware that it will also be subject to the privacy practices of the respective Third Party Service. We encourage you to review the privacy policies of the applicable Third Party Service for more information.

Consent

By providing us with your Personal Information and any other information, through the Website or otherwise, you consent to the collection, use, and disclosure of that information as outlined in this Privacy Policy. We will not require you to consent to the collection, use, or disclosure of your Personal Information beyond what is necessary to provide our services. The type of consent we seek before collecting, using, or disclosing Personal Information may vary based on the circumstances and the nature of the information. This may include express oral or written consent, implied consent, or opt-out consent. We will take into account the sensitivity of the information and the individual’s reasonable expectations when determining how consent must be provided.

You may choose to refuse to provide Personal Information and may, subject to legal or contractual restrictions and providing reasonable notice, withdraw consent at any time for the continued use and disclosure of previously collected Personal Information. The timeframe for reasonable notice will vary based on the nature of the information and the purpose for which it was collected and used. Upon request, we will make every effort to delete your Personal Information; however, it may not be possible to erase all of your Personal Information completely due to technological and legal limitations (for example, when your Personal Information is linked to another client or third party).

If you provide us with the Personal Information of another individual, you represent and warrant that you have the necessary authority to do so, including, where applicable, obtaining the required consent from that individual for us to collect, use, and/or disclose their Personal Information.
